$1M Shop Cash Holiday Giveaway

The $1M Shop Cash Holiday Giveaway (the "Sweepstakes") is sponsored by Shopify Inc., 151 O'Connor Street, Ground Floor, Ottawa, Ontario, K2P 2L8, Canada ("Shopify" or "Sponsor"). The Sweepstakes is governed by these official rules ("Official Rules"). By participating, each entrant agrees to be bound by these Official Rules, including, without limitation, all eligibility requirements, and understands and agrees that the results of the Sweepstakes, as determined by Shopify and its parent companies, subsidiaries, affiliates, third party prize suppliers, advertising/promotion agencies and any entity involved in the production, implementation, administration or fulfillment of the Sweepstakes (collectively, the "Sweepstakes Parties"), and all decisions of the Sweepstakes Parties are final and binding in all respects. The Sweepstakes is void where prohibited by law. Any questions, comments or complaints regarding the Sweepstakes should be directed to Shopify.

The Sweepstakes is not sponsored, endorsed or administered by merchants whose products may appear on Shop.com or by any social-media, advertising or creator platform through which the Sweepstakes may be promoted.

The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia and Canada, excluding Quebec (the "Territory"), who have reached the legal age of majority in their jurisdiction of residence at the time of entry.

Entrants must be physically located within the Territory when entering. Internet access is required. A valid Shop account in good standing is required to receive a prize. For purposes of these Official Rules, Shop.com is the "Platform." Additional account, Shop Pay or Muse requirements may apply depending on the selected entry method.

Employees, representatives, agents, officers and directors of Shopify, its parents, affiliates, subsidiaries, advertising and promotional agencies, Sweepstakes administrators and prize suppliers, together with their immediate family members and members of their households, are not eligible to enter or win.

Sponsor reserves the right to verify the eligibility of every entrant and potential winner.

The Sweepstakes begins at 9:00:00 a.m. Eastern Time on October 26, 2026 and ends at 11:59:59 p.m. Eastern Time on November 1, 2026 (the "Sweepstakes Period").

Sponsor's computer is the official timekeeping device. All entries must be received and recorded during the Sweepstakes Period.

During the Sweepstakes Period, visit https://shop.com/holiday-2026-giveaway using a web browser. The Sweepstakes is available through Shop.com on the web and is not available through the Shop app.

Eligible individuals may enter by completing one of the following actions on Shop.com during the Sweepstakes Period:

• Register for a Shop account. A valid Shop account in good standing is required to receive a prize;
• Create a collection;
• Complete an eligible purchase on Shop.com; or
• Connect Shop Pay to Muse in accordance with the instructions presented on the Sweepstakes landing page.

Each eligible entry will receive equal weighting in the random drawing. Limit one entry per Shop account, regardless of the number of eligible actions completed. Completing more than one action, including making a purchase, will not result in additional entries or increase the odds of winning. A purchase is not required.

Automated, scripted, robotic, macro-generated or fraudulent entries are prohibited. Sponsor may disqualify entries that are incomplete, inaccurate, generated by prohibited means or otherwise fail to comply with these Official Rules.

If there is a dispute concerning the identity of an entrant, the entry will be deemed submitted by the authorized holder of the email address associated with the relevant Shop account or entry. A potential winner may be required to provide proof that they are the authorized account holder.

Sponsor is not responsible for lost, delayed, misdirected, incomplete, corrupted, deleted or invalid entries.

Entries that comply with the Official Rules and all instructions of Shopify and are received during the Sweepstakes Period ("Eligible Entries") will be gathered into a database at the end of the Sweepstakes Period. On or about November 5, 2026 at approximately 9:00 a.m. Eastern Time, Sponsor or its designated administrator will conduct a random, computer-generated drawing from among all Eligible Entries received during the Sweepstakes Period. Before being declared a winner, a selected entrant must: (a) if they are a resident of Canada, correctly answer, without mechanical or other aid, a mathematical skill-testing question administered in writing or by telephone; and (b) if requested by Shopify, complete, sign and return, without alteration, a declaration of eligibility and liability/publicity release, where lawful, together with any tax information required by law, within the period specified in Shopify's notification (collectively, the "Winner Documents").

If a selected entrant: (a) fails to correctly answer the skill-testing question, if applicable; (b) fails to timely return any required Winner Documents or respond according to Shopify's instructions; (c) cannot or is unwilling to accept the Prize as awarded; (d) violates these Official Rules; or (e) cannot be contacted or if any notification is returned as undeliverable, Shopify may disqualify the selected entrant, who will forfeit all rights to the Prize. Time permitting, Shopify may randomly select an alternate eligible entrant from among the remaining Eligible Entries, and the requirements of this section will apply to that alternate entrant. Shopify reserves the right to modify the notification procedures as reasonably necessary when selecting an alternate winner.

The odds of winning depend on the total number of Eligible Entries received. Each Eligible Entry has an equal chance of selection.

LIMIT: ONE PRIZE PER PERSON AND PER SHOP ACCOUNT DURING THE SWEEPSTAKES PERIOD.

All potential winners remain subject to eligibility verification and compliance with these Official Rules.

Potential winners will be notified on or about November 6, 2026 using the email address associated with their Shop account or eligible entry.

Subject to verification, Sponsor intends to deposit the prize directly into each winner's Shop account on or about November 6, 2026. Winners will receive an email confirming that the prize has been awarded and is available in their account.

A potential winner may be required to provide proof of eligibility, tax information, identification or an affidavit or release within the period specified by Sponsor. Failure to respond to Sponsor, provide requested information or comply with these Official Rules may result in disqualification and forfeiture of the prize.

One thousand prizes are available.

Each winner will receive $1,000 in Shop Cash credited to the winner's eligible Shop account (each a "Prize").

The approximate retail value of each prize is $1,000 USD. The aggregate approximate retail value of all prizes is $1,000,000 USD.

Shop Cash is valid for 180 days from the time the cash is issued. Specifics around Shop Cash expiry for each country can be found at https://shop.com/shop-cash-terms.

Prizes are non-transferable and may not be redeemed or exchanged for cash, except in Sponsor's sole discretion. Sponsor may substitute a prize of equal or greater value if an advertised prize becomes unavailable.

All federal, national, state, provincial, territorial and local taxes, together with any expenses not expressly included in the prize description, are the winner's sole responsibility. Sponsor may require tax-reporting information before awarding a prize and may issue applicable tax forms.

No more than the stated number of prizes will be awarded.

The Prize shall be accepted as is and may not be exchanged or refunded for an amount of money, sold or transferred, except in Shopify's sole discretion. No substitutions will be allowed, except in Shopify's sole discretion. The winner agrees that the Sweepstakes Parties do not make any representations, warranties, or guarantees, express or implied, in fact or in law, whether now known or hereinafter enacted, relative to the use or enjoyment of the Prize, including, without limitation, its quality, condition, fitness for a particular purpose, or merchantability.

The Sweepstakes Parties are not responsible for any typographical or other errors or omissions in the offer or administration of the Sweepstakes, including, but not limited to, errors or omissions in any printing or posting of these Official Rules or other Sweepstakes-related material, the selection and announcement of any winner, or the distribution of the Prize.

Any attempt to deliberately damage any website or to undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws. Should such an attempt be made, the Sweepstakes Parties reserve the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

The Sweepstakes Parties reserve the right to terminate, suspend or amend the Sweepstakes, without notice, and for any reason, including, without limitation, if the Sweepstakes Parties determine that the Sweepstakes cannot be conducted as planned or if a virus, bug, tampering or unauthorized intervention, technical failure or other cause beyond the Sweepstakes Parties' control corrupts the security or proper administration of the Sweepstakes. In such event, Shopify may award the Prize from Eligible Entries received prior to termination, amendment or suspension or as otherwise deemed fair and appropriate by Shopify.

In the event of improper play, tampering or unauthorized intervention in the Sweepstakes, the Sweepstakes Parties reserve the right to void any suspect entries. Entrants agree to not damage or cause interruption of the Sweepstakes and/or prevent others from using the Sweepstakes. Shopify reserves the right to restrict or void online entries or participation from any IP address if any suspicious entry and/or participation are detected.

If Shopify determines at any time in its sole discretion that a winner or potential winner is disqualified, ineligible, in violation of these Official Rules, or engaging in behavior that Shopify deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Shopify reserves the right to disqualify the winner or potential winner, even if the disqualified winner or potential winner may have been notified or displayed or announced anywhere.

If any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize, Shopify may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law.

The Sweepstakes Parties are not responsible for any changes to or unavailability of Shop.com that may interfere with the Sweepstakes, including any limitations, restrictions or conditions on Shopify's ability to use Shop.com for the Sweepstakes as set forth herein that are not acceptable to Shopify, or the ability of an entrant to timely enter, receive notices or communicate with Shopify, in which case Shopify, in its sole discretion, may terminate or modify the Sweepstakes.

The Sweepstakes Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in an entrant's email or other account to receive messages. The Sweepstakes Parties are not responsible, and may disqualify an entrant, if the entrant's email address or other contact information does not work or is changed without prior written notice to Shopify.

The Sweepstakes Parties and each of their respective officers, directors, employees, members, managers, representatives, agents, successors and assigns (collectively, the "Released Parties") will not be liable for any loss, damages or injury, claims or fees (including, without limitation, any injury, damage, death, loss, or accident to person or property) related to or arising out of: (a) preparing for, participating in and/or traveling to or from any prize- or Sweepstakes-related activity; (b) any failure of the Released Parties' websites or Shop.com during the Sweepstakes; (c) any technical malfunction, lost or delayed data transmission, omission, interruption, deletion, line failure or malfunction of any telephone network, computer on-line systems, servers, access providers, computer equipment or software, the inability to access any website or online service or any other error, human or otherwise; (d) the failure of any entry to be received, captured or recorded for any reason, including, but not limited to, technical problems or traffic congestion on the internet, Shop.com, or at any website; (e) any injury or damage to an entrant's or any other person's computer or other device related to or resulting from participating in the Sweepstakes; (f) the award, acceptance, possession, use or misuse of any Prize or any portion thereof; (g) Prizes that are lost, damaged or misdirected during shipping; (h) entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program); and/or (i) any combination of the above.

Without limiting any other provision in these Official Rules, Released Parties are not responsible or liable to any entrant or winner or any person claiming through such entrant or winner for failure to supply the Prize or any part thereof in the event that any of the Sweepstakes activities or Released Parties' operations or activities are affected, as determined by Shopify in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental, federal, state or local government authority, or any other cause, whether or not specifically mentioned above.

EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY JURISDICTION OF THE UNITED STATES OR CANADA ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS:

"CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."

By participating, except where prohibited by law, each winner grants Sponsor and the Sweepstakes Parties the irrevocable, sublicensable, absolute right and permission to use his/her name, likeness, photograph, biographical information, voice, comments, and any other indicia of persona (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the Released Parties' sole discretion) without further notice or payment of additional consideration in any publicity, advertisement or other promotional, trade or commercial use carried out by or on behalf of the Sweepstakes Parties in any media, current or not yet existing (including, without limitation, print, broadcast or the internet) worldwide, without any limitation of time and without notice, review or approval and each entrant releases all Released Parties from any and all liability related thereto. Nothing contained in these Official Rules obligates Shopify to make use of any of the rights granted herein and each entrant waives any right to inspect or approve any such use.

Information collected in connection with the Sweepstakes will be handled in accordance with Shopify's privacy policy, available at https://www.shopify.com/legal/privacy.

Entrants authorize Sponsor and its service providers to use submitted information to administer the Sweepstakes, verify eligibility, contact potential winners, award prizes, comply with legal requirements and otherwise operate the Sweepstakes.

Information provided through Shop Pay, Muse or another service may also be subject to the applicable service's privacy terms.

If the identity of an entrant is disputed, the registered account holder of the e-mail address associated with the Platform account submitted at the time of entry will be deemed to be the entrant, but only if that person meets all other eligibility criteria, otherwise the entry may be disqualified and any potential prize won will be forfeited in Shopify's sole discretion. A registered account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A selected entrant may be required to provide proof that he/she is the authorized account holder of the Platform account associated with the selected entry. All entries must be submitted from a valid Platform account. Any damage made to the Platform will be the responsibility of the registered account holder of the e-mail address for the Platform account submitted at the time of entry.

Except where prohibited, each entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and shall be governed by and construed in accordance with the laws of the Province of Ontario. The entrant hereby accepts the jurisdiction of the courts of the Province of Ontario with respect to any legal actions, suits or proceedings arising out of or related to this Sweepstakes and agrees not to oppose any action brought in Ontario on the basis that the courts of Ontario are not an appropriate or convenient forum for same; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (not to exceed $10 CAD), but in no event attorneys' fees; (c) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, "Special Damages") and entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. Ontario law, without reference to Ontario's choice of law rules, governs the Sweepstakes and all aspects related hereto.

Shopify's failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is an alleged or actual ambiguity, discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials and/or these Official Rules (including any alleged discrepancy or inconsistency in these Official Rules), it will be resolved in Shopify's sole discretion. Entrants waive any right to claim ambiguity in the Sweepstakes or these Official Rules. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
